These Terms of Use ("Terms") govern your access to and use of the Ritestream website, applications, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, or uploading content, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About Ritestream
Ritestream is a free, ad-supported video streaming platform operated by Ritestream Studios Ltd. Viewers can watch content free of charge, and creators can upload and share their own content subject to these Terms.
2. Eligibility
You must be at least 13 years old (or the minimum age required in your country) to use the Service, and at least 18 (or the age of majority in your jurisdiction) to upload content or enter into a binding contract. By using the Service you represent that you meet these requirements and that you are not barred from using the Service under applicable law.
3. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information, keep it up to date, and notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or its users.
4. The Service is free and ad-supported
Access to the Service is offered free of charge and supported by advertising. By using the Service, you acknowledge and agree that we (and our advertising partners) may display, measure, and personalise advertising in, around, or alongside content, including pre-roll, mid-roll, post-roll, banner, overlay, and similar ad formats. We may change ad formats, placements, and frequency at any time.
5. User content and creator representations
"User Content" means any video, audio, image, text, metadata, comment, or other material you submit, upload, post, or otherwise make available through the Service.
5.1 Your ownership
You retain ownership of your User Content, subject to the licence you grant us below.
5.2 Licence to Ritestream
By submitting User Content, you grant Ritestream a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for technical purposes such as transcoding and formatting), adapt, publish, publicly perform, publicly display, distribute, translate, and create derivative works of your User Content, in any media now known or later developed, for the purposes of operating, providing, promoting, and improving the Service. This licence continues for as long as the User Content remains on the Service, and for a reasonable period thereafter to account for backups, shared copies, and content that other users have downloaded, embedded, or linked to in accordance with these Terms.
5.3 Licence to other users
You also grant each user of the Service a non-exclusive licence to access your User Content through the Service and to use, reproduce, distribute, and display it as enabled by features of the Service.
5.4 Your warranties and representations
You represent, warrant, and covenant that:
- You are the sole owner of your User Content, or you have obtained all necessary rights, licences, consents, clearances, releases, and permissions from all rights holders (including any copyright, trademark, publicity, privacy, moral, performers', neighbouring, music, sync, master recording, and other applicable rights) to grant the licences in Sections 5.2 and 5.3 and to otherwise upload and share the User Content on the Service.
- Your User Content does not and will not infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or any other rights of any third party.
- You have paid, and will pay, all royalties, fees, residuals, and other payments owed to any person or entity in connection with your User Content.
- Your User Content complies with these Terms and all applicable laws.
5.5 Consequences of misrepresentation
If you upload User Content that you do not have the rights to, you are in material breach of these Terms. You agree that Ritestream may, in addition to any other remedies available to it:
- Remove or disable access to the User Content at any time, with or without notice.
- Suspend or terminate your account.
- Withhold or reverse any payments (where applicable).
- Report you to rights holders, platforms, and authorities.
- Pursue any and all legal and equitable remedies against you, including claims for damages, lost profits, statutory damages, injunctive relief, and recovery of legal fees and costs.
5.6 Indemnity
You agree to defend, indemnify, and hold harmless Ritestream Studios Ltd, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your breach of these Terms, (c) your violation of any law or the rights of any third party, or (d) any claim that your User Content caused damage to a third party.
6. Acceptable use
You agree not to use the Service to:
- Upload, post, or share content that is unlawful, infringing, defamatory, obscene, pornographic involving minors, sexually exploitative, harassing, hateful, violent, threatening, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Upload malware, viruses, or any other harmful code.
- Scrape, harvest, or collect data from the Service except through features we expressly provide.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its related systems.
- Bypass, block, remove, modify, or interfere with advertising or any security or access controls.
- Use the Service to send spam or unsolicited commercial communications.
- Use automated means (bots, scripts, emulators) to artificially inflate views, watch time, engagement, or ad impressions.
- Violate any applicable law or regulation.
We may, but are not obligated to, monitor or review User Content. We may remove or disable access to any User Content at any time, with or without notice, in our sole discretion.
7. Intellectual property infringement and takedowns
We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your rights, please send a written notice to legal@ritestream.com including:
- Identification of the work claimed to be infringed.
- Identification of the allegedly infringing material and its location on the Service (e.g., URL).
- Your contact information (name, address, phone, email).
- A statement that you have a good faith belief the use is not authorised.
- A statement, under penalty of perjury (where applicable), that the information is accurate and you are authorised to act on behalf of the rights holder.
- Your physical or electronic signature.
Repeat infringers will have their accounts terminated.
8. Ritestream's intellectual property
The Service, including its software, design, text, graphics, logos, and trademarks (excluding User Content), is owned by Ritestream Studios Ltd or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes, subject to these Terms. All rights not expressly granted are reserved.
9. Third-party content and links
The Service may contain content, advertising, or links provided by third parties. We are not responsible for, and do not endorse, any third-party content or services. Your interactions with third parties are solely between you and them.
10. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OR ERROR-FREE OPERATION, OR THE ACCURACY OR RELIABILITY OF ANY CONTENT. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL SUCH WARRANTIES.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RITESTREAM STUDIOS LTD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
12. Termination
You may stop using the Service at any time and delete your account through the Service settings or by contacting us. We may suspend or terminate your access to the Service, remove User Content, or close your account at any time, with or without notice, including for breach of these Terms, suspected illegal activity, or risk to the Service or its users.
Upon termination, the licences you have granted us in respect of User Content already shared with other users, or embedded or downloaded by third parties, and provisions that by their nature should survive (including Sections 5.2–5.6, 6–11, and 13–16), will survive.
13. Changes to the Service and these Terms
We may modify, suspend, or discontinue the Service (or any part of it) at any time. We may update these Terms from time to time. If we make material changes, we will notify you by reasonable means (such as a notice on the Service). Your continued use of the Service after changes take effect means you accept the updated Terms.
14. Governing law and disputes
These Terms, and any dispute arising out of or related to them or the Service, will be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. You agree that the state and federal courts located in Kent County, Delaware will have exclusive jurisdiction over any such dispute, except where mandatory local law grants you the right to bring a claim in your country of residence.
15. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Ritestream regarding the Service.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.
- No agency. No joint venture, partnership, employment, or agency relationship exists between you and Ritestream.
- Notices. We may give notices via the Service or to the email associated with your account.
